    Guvernul Romaniei hotaraste:

    ARTICOL UNIC
    Pentru societatile comerciale cu capital integral de stat, hotararea cu privire la marirea sau reducerea capitalului social, modificarea numarului de actiuni sau a valorii nominale a acestora, cesiunea actiunilor, modificarea statutului, transformarea formei juridice a societatii, comasarea, divizarea, dizolvarea si lichidarea societatii, se adopta de consiliile imputernicitilor statului.
    In cazul in care ca urmare a aplicarii prevederilor alin. 1 societatea nu mai este cu capital integral de stat, potrivit Legii nr. 31/1990, activitatea consiliului imputernicitilor statului inceteaza, iar interesele statului in adunarea generala a actionarilor vor fi reprezentate de ministerul de resort.
    Corespunzator prevederilor alin. 1 si 2 se modifica statutele societatilor comerciale cu capital integral de stat, infiintate potrivit Legii nr. 15/1990.

    Organizarea functionarea si atributiile consiliilor imputernicitilor statului au fost stabilite prin Regulament. Regulamentul transmis cu circulara nr. 69/1991 a Secretariatului General al Guvernului este redat in Indrumar Legislativ 1991, I, ianuarie.
